Welcome to Sponsor Sorter. By accessing or using our website, dashboards, APIs, or services (collectively, the “Service”), you agree to these Terms of Service (“Terms”) and our Privacy Policy. If you do not agree, do not use the Service.

1) Acceptance of Terms

These Terms apply to all users (sponsors, creators/sponsees, admins). You represent that you have authority to bind yourself or your business to these Terms.

2) Eligibility & Accounts

• You must be at least 18 years old (or the age of legal capacity in your jurisdiction).
• Provide accurate, complete registration details and keep them updated.
• You are responsible for safeguarding account credentials and all activity under your account.
• We may refuse, suspend, or terminate accounts that violate these Terms or applicable law.

3) Acceptable Use & Safety

• Be honest and professional in all sponsor–creator interactions.
• Do not engage in fraud, spam, harassment, hate, or unlawful conduct.
• Do not attempt to bypass security, scrape private data, or reverse engineer the Service.
• Respect others’ privacy, intellectual property, and platform rules of any connected services.
• We use automated and manual moderation (including “FamBot”) to detect abuse; violations may result in removal or ban.

4) Offers, Deliverables & Workflow

• Offer terms (deliverables, timing, payment) must be agreed in writing within the platform.
• Each party is responsible for timely performance; missed deadlines or non-payment may lead to cancellation and account action.
• Status changes and comments are logged for transparency. Keep communications on-platform for dispute clarity.

5) Payments, Fees & Taxes

• Payments are typically processed via Stripe. We do not store raw card numbers on our servers.
• Platform fees/commissions (if applicable) will be disclosed in the UI or relevant plan details.
• You are responsible for your own taxes and reporting obligations.
• Chargebacks, suspected fraud, or payment failures may trigger account review, holds, or suspension.

6) Content & Intellectual Property

• Do not upload content you do not have rights to. You retain ownership of your content.
• You grant Sponsor Sorter a non-exclusive, worldwide, royalty-free license to host, reproduce, display, and adapt your uploaded content (logos, images, offer materials) solely to operate, improve, and promote the Service.
• We may remove content that violates law, third-party rights, or these Terms.
• Sponsor Sorter, our logos, and site assets are protected by IP laws. No rights or licenses are granted except as stated.

7) OAuth & Connected Platforms (Google/YouTube, Facebook/Instagram, TikTok, Twitch)

What we access (varies by provider and the scopes you approve):

• YouTube (Google): basic channel identity and public metrics; video information and performance stats used to attribute deliverables and show outcomes for offers.
• Instagram (via Facebook): business/creator account identity; media metadata and insights needed to verify live posts and summarize performance.
• TikTok: basic account identity; post metadata and engagement metrics necessary to confirm deliverables and show results.
• Twitch: channel identity and public performance data to verify presence/activations and summarize outcomes.
• Facebook (Pages): Page identity and insights if you explicitly connect a Page for verification or reporting.

How we use this data: to (a) verify deliverables went live, (b) display analytics tied to offers, (c) reduce fraud and improve matching, and (d) maintain audit logs for disputes.

What we do NOT do: sell your data, read private messages, or post on your behalf without explicit user action (default is read-only analytics/verification).

Storage & security: OAuth tokens and minimal metadata are stored securely (encrypted at rest) in Supabase. Transport uses TLS. Access is restricted.

Revocation & disconnect: You can disconnect any platform in Connected Platforms. You may also revoke directly in provider account/security settings.

Retention: Tokens are retained while your account remains connected. Offer-linked analytics may be retained for records, fraud prevention, or legal compliance.

Third-party terms: Use of connected platforms is also governed by their own terms and policies.

8) Privacy, Data Rights & Data Deletion

• Our data practices are described in the Privacy Policy.
• You can request access, correction, portability, restriction, or deletion as permitted by law.
• Data deletion: Disconnecting stops future sync. Full deletion requests via Settings or support@sponsorsorter.com.
• Children: the Service is not directed to under-13s (or local age of consent).
• We use trusted subprocessors (Supabase, Stripe, Resend, etc.) with safeguards.

9) Suspension & Termination

• We may suspend/terminate accounts for violations or risk.
• You may close your account in Settings. Certain obligations survive termination.

10) Disclaimers

The Service is provided “as is” and “as available.” We do not warrant uninterrupted or error-free operation, nor that metrics from connected platforms are always available, accurate, or timely.

11) Limitation of Liability

To the maximum extent permitted by law, Sponsor Sorter is not liable for indirect, incidental, consequential, or punitive damages. Aggregate liability is limited to (a) amounts paid in the 6 months preceding claim or (b) AUD $100.

12) Indemnity

You agree to indemnify Sponsor Sorter and affiliates against claims, damages, and expenses arising from your content, your use, or violations of these Terms.

13) Changes

We may update Terms or the Service. Material changes will be communicated. Continued use means acceptance.

14) Governing Law

These Terms are governed by the laws of Victoria, Australia. You consent to exclusive jurisdiction of courts in Victoria.

15) Miscellaneous

• Severability: unenforceable provisions don’t affect the rest.
• Assignment: You may not assign without consent; we may assign with corporate changes.
• Entire Agreement: These Terms + Privacy Policy are the full agreement.
• No waiver: Failure to enforce isn’t a waiver.
